4.01. Ήδη από 1/12/2012 στο 5μελές Διοικητικό Συμβούλιο της ΕΤΑΙΡΕΙΑΣ μετέχουν τρία (3) μέλη καθ΄ υπόδειξη του ΑΓΟΡΑΣΤΗ, ο δε ΠΩΛΗΤΗΣ συμφωνείται όπως διατηρήσει δύο (2) μέλη στο Διοικητικό Συμβούλιο της ΕΤΑΙΡΕΙΑΣ. Ειδικότερα συμφωνείται ότι μέχρι την 31/12/2012 ένα (1) εκ των μελών του Διοικητικού Συμβουλίου της ΕΤΑΙΡΕΙΑΣ που έχει υποδειχθεί από τον ΠΩΛΗΤΗ, θα έχει δικαίωμα εκπροσώπησης της ΕΤΑΙΡΕΙΑΣ προκειμένου να διενεργηθεί ομαλά η μετάβαση της διοίκησης της ΕΤΑΙΡΕΙΑΣ στον ΑΓΟΡΑΣΤΗ ως διαθέτοντα την απόλυτη πλειοψηφία του μετοχικού κεφαλαίου της ΕΤΑΙΡΕΙΑΣ. Μετά την 31/12/2012 στο Διοικητικό Συμβούλιο της ΕΤΑΙΡΕΙΑΣ θα διατηρηθούν τα δύο (2) εκ του ΠΩΛΗΤΗ υποδειχθέντα μέλη, χωρίς όμως δικαίωμα εκπροσώπησης της ΕΤΑΙΡΕΙΑΣ.
