Αναλογική εφαρμογή των διατάξεων του ΠΔ 219/1991 (και έμμεσα της Οδηγίας 86/653/ΕΟΚ του Συμβουλίου των Ευρωπαϊκών Κοινοτήτων) και στους αποκλειστικούς διανομείς

Το Προεδρικό Διάταγμα 219/1991 «Περί Εμπορικών Αντιπροσώπων» εκδόθηκε με σκοπό την προσαρμογή της Ελληνικής Νομοθεσίας προς τις διατάξεις της Οδηγίας 86/653/ΕΟΚ του Συμβουλίου των Ευρωπαϊκών Κοινοτήτων «για τον συντονισμό των δικαίων των κρατών μελών όσον αφορά τους εμπορικούς αντιπροσώπους». Οι διατάξεις του ΠΔ 219/1991 εφαρμόζονται αναλογικά και στους αποκλειστικούς διανομείς, σύμφωνα με το άρθρο 14 παρ. 4 του ν. 3557/2007 (ΦΕΚ Α 100/14.5.2007) ορίζεται ρητά ότι «οι διατάξεις του π.δ. 219/1991, όπως ισχύει, εφαρμόζονται αναλόγως στις συμβάσεις … β)αποκλειστικής διανομής, εφόσον, ως συνέπεια της σύμβασης αυτής, ο διανομέας ενεργεί ως τμήμα της εμπορικής οργάνωσης του προμηθευτή…». Ο νομοθέτης συμμορφώθηκε με την άποψη που επικράτησε στη νομολογία: ο Άρειος Πάγος, με πρώτη την υπ’ αριθμ. 139/2006 απόφασή του, είχε κρίνει ρητά ότι οι διατάξεις του ΠΔ 219/91 για την αποζημίωση πελατείας του εμπορικού αντιπροσώπου εμπορευμάτων εφαρμόζονται αναλογικά κατ’ επιταγή της αρχής της ισότητας και στην αποκλειστική διανομή, εφόσον αυτή λειτουργεί όπως η εμπορική αντιπροσωπεία. Ανάλογη λύση δόθηκε λίγο αργότερα από το ελβετικό Ακυρωτικό (απόφαση υπ’αριθ. 4Α-61/22.5.2008).

The provisions of PRESIDENTIAL DECREE 219/1991 apply to exclusive distributors, in accordance with article 14(1). 4 of law 3557/2007 (FEK a 100/14 May 2007) stipulates that "the provisions of p.d. 219/1991, as applicable, shall apply mutatis mutandis to contracts of ... (b) exclusive distribution), where, as a result of this contract, the Distributor acts as part of the commercial organisation of vendor ... ". The legislature complied with the view that prevailed in the jurisprudence: the Areopagus, starting with the No. 139/2006 decision, had held explicitly that the provisions of PRESIDENTIAL DECREE 219/91 on compensation to customers of a commercial agent of goods applied proportionately first cheque of the principle of equality and the exclusive distribution, where she works as the commercial delegation. A similar solution was given shortly afterwards by the Swiss Court of Cassation (judgment No. 4A-61/22.5.2008).

The provisions of Presidential Decree 219/1991 shall apply by analogy to the exclusive distributors in accordance with Article 14 par. 4 of n. 3557/2007 (Government Gazette 100 / 14.5.2007) explicitly states that "the provisions of PD 219/1991, as amended, shall apply accordingly to contracts ... b) exclusive distribution, where, as a result of this contract, the distributor acts as part of the commercial organization supplier ... ". The legislature has complied with the view that prevailed in case law: the Supreme Court, led by the no. 139/2006 decision was expressly held that the provisions of Decree 219/91 to compensate customers the agent of goods apply by analogy behest of the principle of equality and the exclusive distribution, where it functions as the marketing agency. A similar solution was found later by Swiss Cassation (Case Nos. 4A-61 / 22.5.2008).
